These Terms of Service (hereinafter referred to as the "Terms") constitute a legally binding agreement between you (hereinafter referred to as the "User" or "you") and VoKit (hereinafter referred to as "VoKit", "we" or "us"). They govern all your activities in accessing and using VoKit’s mobile application and related services (collectively referred to as the "Services"). By accessing or using the Services, you agree to be bound by these Terms and all terms incorporated herein by reference, including our Privacy Policy.
If you do not fully agree to all the terms of these Terms, you must immediately cease accessing or using the Services.
1.1 Binding Agreement: These Terms regulate your use of the Services. Your use of the Services shall be deemed as your acknowledgment that you have read, understood and agreed to be bound by all the terms of these Terms.
1.2 Modification of Terms: We reserve the right to revise these Terms from time to time. The revised version of the Terms will be posted on our official website or within the application and shall take effect upon posting. Your continued use of the Services after the revision of the Terms constitutes your acceptance of the revised Terms.
1.3 Eligibility: You must have reached the legal age of majority in your jurisdiction or obtained the consent of your parent or guardian to use the Services. If you use the Services on behalf of a legal entity, you represent and warrant that you have obtained sufficient authority to bind that legal entity to these Terms.
2.1 License Grant: Subject to your compliance with the terms of these Terms, VoKit grants you a limited, revocable, non-exclusive, non-transferable worldwide license to access and use the Services.
2.2 Usage Restrictions: You shall not engage in the following acts:
2.3 Content Responsibility: You shall be solely responsible for all content you upload or share. You warrant that the content you upload does not violate any applicable laws, regulations or the legitimate rights of third parties.
3.1 Account Registration: Registration of an account is required to use all features of the Services. You agree to provide accurate and complete information during the registration process.
3.2 Account Security: You shall keep the confidentiality of your account login credentials and be fully responsible for all activities conducted under your account.
3.3 Account Termination: We reserve the right to suspend or terminate your account for any violation of these Terms or any conduct that we deem harmful.
4.1 Paid Services: Some features of the Services may require a subscription or payment of fees. Details of subscriptions, pricing standards and billing rules will be displayed within the application, and the relevant payments will be processed through the App Store or Google Play Store.
4.2 Third-Party Payment: All payment transactions are processed by third-party platforms, and VoKit does not directly handle the payment process. You agree to comply with the purchase and refund-related terms of the third-party payment platforms.
4.3 Auto-Renewal: Subscriptions will be automatically renewed unless you cancel the subscription at least 24 hours prior to the end of the current subscription period. Cancellation of subscription must be made through the account settings of the corresponding application store.
5.1 VoKit’s Content Rights: All intellectual property rights contained in the Services, including but not limited to software programs, UI/UX designs, trademarks and visual elements, are owned by or licensed to VoKit.
5.2 User Content License: By submitting content through the Services, you grant VoKit a worldwide, royalty-free, sublicensable right to use, reproduce, modify, adapt, publish and distribute such content for the purpose of providing and optimizing the Services.
6.1 Services Provided "As Is": The Services are provided "as is" and "as available" without any warranty of any kind, either express or implied.
6.2 Limitation of Liability: To the maximum extent permitted by applicable law, VoKit shall not be liable for any direct, indirect, incidental, consequential or punitive damages arising out of your use of the Services.
6.3 Indemnification: You agree to indemnify, defend and hold harmless VoKit and its affiliates from and against any claims, liabilities, losses and expenses (including reasonable attorney’s fees) arising from your violation of these Terms.
7.1 Third-Party Links: The Services may contain links to third-party websites. VoKit shall not be responsible for the content, privacy policies or operational practices of such third-party websites.
7.2 Severability: If any provision of these Terms is deemed invalid or unenforceable by a competent authority, the validity and enforceability of the remaining provisions shall remain unaffected.
7.3 Assignment: VoKit reserves the right to assign all or part of its rights and obligations under these Terms to its affiliates or successors in interest.
